Amendment to Schedule 13-D - update on acceptance level of Royal Dutch Offer

On 16 August 2005, Royal Dutch Shell plc (Royal Dutch Shell) amended the Schedule 13-D filed in respect of ordinary shares of Royal Dutch Petroleum Company ('Royal Dutch') with the US Securities and Exchange Commission. Within that filing Royal Dutch Shell confirmed that Royal Dutch Shell had acquired beneficial ownership of 2,038,348,625 ordinary shares in the share capital of Royal Dutch (‘Royal Dutch Shares’), representing 98.49% of all issued and outstanding Royal Dutch Shares pursuant to the offer by Royal Dutch Shell to acquire all ordinary shares of Royal Dutch. This includes all Royal Dutch Shares exchanged for Royal Dutch Shell shares in the initial offer period which expired on 18 July 2005 and all Royal Dutch Shares exchanged in the subsequent offer acceptance period which expired on 9 August 2005. It excludes 4,295,470 New York Registered Shares tendered pursuant to notice of guaranteed delivery during the subsequent offer acceptance period that will not be delivered.
